Terms of Service for Professional Registration with WhoCanHelp

Welcome to WhoCanHelp.org.uk. These Terms of Service ("Terms") govern your access and use of WhoCanHelp’s lead generation services (the "Services"). By registering as a professional ("you", "your" or "Professional") and using our Services, you agree to abide by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

1. Scope of Services
1.1. Lead Generation: WhoCanHelp is a platform designed to provide Professionals with leads from potential customers ("Clients"). Our sole responsibility is to provide contact information (email or phone number) of potential Clients. We do not guarantee that you will win or secure work from any lead provided.
1.2. Completion of Contract: Once a valid UK-based phone number or email address for a Client has been provided, our contractual obligation is complete. Whether you choose to engage with the lead and the outcome of any such engagement is entirely your responsibility. Our fee is non-refundable once a valid lead is provided, irrespective of the outcome of your interaction with the Client.

2. Professional's Responsibilities and Obligations
2.1. Legal Compliance: By using our Services, you confirm that you hold all necessary qualifications, certifications, licenses, and registrations required by law to offer your professional services in the UK. It is your responsibility to ensure that all your qualifications are up to date.
2.2. Client Relationship: Any agreements, contracts, or disputes between you and any Client are strictly between you and the Client. WhoCanHelp is not a party to any contract or agreement between you and a Client. You acknowledge and agree that you take full liability for any claims, disputes, or legal matters arising from your interaction with the Client.
2.3. Notification of Lapsed Registration: You are responsible for notifying WhoCanHelp immediately of any lapses, suspensions, or revocations of your certifications, licenses, or registrations. If you continue to claim or use leads provided by WhoCanHelp during a period when your registration is lapsed, WhoCanHelp bears no responsibility for any consequences that arise, and you accept full liability for any claims or damages incurred as a result.

3. Disclaimer of Liability
3.1. No Warranty of Work or Quality: WhoCanHelp does not endorse, recommend, or vouch for the quality, reliability, or suitability of any Professional using our platform. We simply provide leads based on the information supplied by potential Clients.
3.2. No Guarantee of Work: We do not guarantee that leads provided will result in work or that Clients will select you for the job. WhoCanHelp is not responsible for the actions, decisions, or satisfaction of the Clients.
3.3. Liability Waiver: To the fullest extent permitted by law, WhoCanHelp shall not be liable for any losses, damages, or claims (whether direct, indirect, or consequential) arising from or related to:

Any failure by a Client to proceed with work or to pay for services rendered.

Any dispute or disagreement between you and a Client.

Any professional services provided or not provided by you to a Client.

4. Payment and Non-Refundability
4.1. Non-Refundable Fees: Once WhoCanHelp provides a valid lead with a UK-based phone number or email address, the fee charged for that lead is strictly non-refundable, regardless of whether you choose to pursue the lead or secure work from the Client.
4.2. Payment Terms: By registering with WhoCanHelp, you agree to pay all applicable fees for leads, as communicated to you at the time of registration or as updated from time to time. Failure to settle payment in accordance with these terms may result in suspension or termination of your account.

5. Indemnification
You agree to indemnify, defend, and hold harmless WhoCanHelp, its affiliates, officers, employees, and agents from and against any and all claims, losses, liabilities, damages, expenses, and costs (including reasonable legal fees) arising out of or related to:

Your breach of these Terms.

Your professional services or actions taken in connection with a Client.

Any disputes or legal claims involving you and a Client, including but not limited to claims of negligence, malpractice, or breach of contract.

6. Account Management and Responsibilities
6.1. Account Information: You are responsible for maintaining the accuracy of your registration information and ensuring your contact details, qualifications, and certifications are up to date.
6.2. Lead Claiming While Lapsed: If your registration or certification lapses, and you continue to claim leads during this period, you remain fully liable for any claims, disputes, or damages that arise. WhoCanHelp will not accept any responsibility or liability for such actions, and any claim made against us will be treated as a claim against you directly.

7. Termination and Suspension of Services
7.1. Termination by You: You may terminate your account with WhoCanHelp at any time by notifying us in writing. However, any fees already paid for leads will not be refunded, and any ongoing obligations to Clients under your own contracts must still be fulfilled.
7.2. Termination by Us: WhoCanHelp reserves the right to suspend or terminate your account if we believe, in our sole discretion, that you have breached these Terms, provided false information, or otherwise acted in a way that may harm WhoCanHelp or its reputation.

8. Dispute Resolution
In the event of any dispute between you and WhoCanHelp, both parties agree to first attempt to resolve the matter amicably through good faith negotiations. If such efforts fail, the dispute shall be resolved through binding arbitration under UK law.

9. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any legal proceedings arising from these Terms or the use of the Services shall be brought exclusively in the courts of England and Wales.

10. Changes to the Terms of Service
WhoCanHelp reserves the right to update or modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of the Services after any changes are posted constitutes your acceptance of the revised Terms.
